For this reason, Copel’s corporate governance encompasses an efficient set of mechanisms, both for incentives and monitoring, in order to ensure that the performance of managers is always aligned with the best interests of the Company, the Paraná State government, with aimed at resolving issues for the benefit of the company itself and its stakeholders.

Copel is listed on Level 2 Governance of the B3 (Brasil, Bolsa, Balcão – São Paulo stock exchange) and complies with the provisions of Federal Laws No. 6,404/1976 and No. 13,303/2016, the rules of the Securities and Exchange Commission (CVM) and other applicable legislation in Brazil.

Copel’s corporate governance model is based on the principles of transparency, equity, accountability and corporate responsibility, seeking the best results for stakeholders, following the best market practices and having as a reference the Code of Best Governance Practices of the Brazilian Institute of Corporate Governance – IBGC, which defines corporate governance as “the system by which companies and other organizations are directed, monitored and encouraged, involving the relationships between partners, board of directors, executive board, supervisory bodies and control and other interested parties”.

Based on these principles, Copel’s Governance Policy establishes the standard and best practices to be adopted by the Company, being governed by the Code of Conduct, developed in line with its values ​​and the Principles of the Global Compact.

Abroad, the Company complies with the regulations of the Securities and Exchange Commission (SEC) and the New York Stock Exchange (NYSE), in the United States; and Latibex, from Bolsa y Mercados Españoles, in Spain. Copel’s corporate governance system also incorporates the governance of wholly-owned subsidiaries, as established in the sharing agreement.
